These Vendor Terms govern the relationship between VyapaarFlow and any individual or business ("Vendor", "Partner", or "Reseller") using our platform for commercial purposes. --- 1. Definition of Vendor A Vendor/Partner is any user who: - Resells VyapaarFlow services - Uses the platform to provide services to third-party clients - Integrates VyapaarFlow APIs into their own systems --- 2. Scope of Services VyapaarFlow provides Vendors with access to: - WhatsApp-based communication tools (via official/integrated APIs) - Chatbot automation features - API integration and CRM functionalities --- 3. Vendor Responsibilities The Vendor agrees to: - Ensure all end-users have provided proper opt-in consent - Comply with WhatsApp Business policies and applicable laws - Maintain accurate records of customer consent - Use the platform ethically and lawfully Vendor shall be solely responsible for all communications sent through their account. --- 4. Prohibited Usage Vendors must NOT: - Send spam or unsolicited bulk messages - Use purchased or scraped contact data - Mislead customers or engage in fraudulent activities - Violate third-party platform policies Any violation may result in immediate suspension or termination. --- 5. White-Label / Reselling Policy - Vendors may resell VyapaarFlow services under their own branding (if permitted) - Vendors are responsible for supporting their own clients - VyapaarFlow is not liable for disputes between Vendor and their customers --- 6. Payments & Billing - Vendors must pay all applicable fees as per agreed pricing - Payments are non-refundable once services are activated - Vendors are responsible for collecting payments from their own customers --- 7. Third-Party Services Disclaimer VyapaarFlow is not affiliated with WhatsApp or Meta. We are not responsible for: - WhatsApp number bans or restrictions - API downtime or failures - Policy changes by third-party providers --- 8. Data Protection Vendors must ensure: - Lawful collection and usage of customer data - Protection of customer privacy - Compliance with applicable data protection laws --- 9. Account Suspension / Termination VyapaarFlow reserves the right to suspend or terminate Vendor accounts if: - Policies are violated - Spam or abuse is detected - Legal or compliance risks arise No refund will be provided in such cases. --- 10. Limitation of Liability VyapaarFlow shall not be liable for: - Vendor’s business losses - Customer disputes - Data misuse by Vendor - Third-party service failures --- 11. Indemnification Vendor agrees to indemnify and hold harmless VyapaarFlow from any claims, damages, or legal issues arising from: - Vendor misuse of the platform - Violation of laws or policies - Unauthorized messaging --- 12. Modification of Terms We reserve the right to update these terms at any time. Continued usage implies acceptance. --- 13. Governing Law These terms shall be governed by the laws of India. --- 14.
